These terms and conditions (“Terms”) generally apply to all transactions between Grand Bazaar Trade (“we”, “us”, or “our”) and any business customer (“you”, “your”, or “Buyer”).

Please read these Terms carefully before registering for a trade account or placing an order. By placing an order with us, you agree to be bound by these Terms.


1. General & Business Status

1.1 These Terms apply to the sale of goods by us to you to the exclusion of all other terms and conditions, including any terms or conditions which you may purport to apply under any purchase order, confirmation of order, or similar document.

1.2 B2B Only: We are a trade-only wholesaler. By placing an order with us, you warrant and represent that you are purchasing goods for the purposes of your business, trade, or profession and not as a private consumer.

1.3 We reserve the right to request proof of business status (such as a company registration number, VAT number, or evidence of trading) before activating a trade account or fulfilling an order.

2. Accounts & Registration

2.1 To view wholesale pricing and place orders, you must register for a trade account on our website. 2.2 We reserve the right to accept or reject any application for a trade account at our sole discretion. 2.3 You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

3. Orders & Contract

3.1 All orders are subject to acceptance and availability. If the goods ordered are not available, we will notify you by email or phone (or your account dashboard) and you will have the option either to wait until the item is available from stock or to cancel the order.

3.2 Any order placed by you constitutes an offer to purchase goods in accordance with these Terms.

3.3 No contract exists between you and us for the sale of any goods until we have received and accepted your order and dispatched the goods.

3.4 Minimum Order: We reserve the right to impose a minimum order value (MOV) or minimum order quantity (MOQ). Current minimums (if any) are displayed on our website.

4. Price & Payment

4.1 The price of the goods shall be the price set out on our website at the date of your order.

4.2 VAT: All prices quoted are exclusive of VAT (Value Added Tax) unless otherwise stated. VAT will be added to the total amount due at the prevailing rate.

4.3 Payment must be made in full before dispatch, unless credit terms have been expressly agreed in writing by us.

4.4 We accept payment via [Bank Transfer / Credit Card / Debit Card].

4.5 We reserve the right to change prices at any time without prior notice. However, changes will not affect orders that we have already accepted.

5. Delivery

5.1 Delivery dates and times are estimates only and are not guaranteed. We shall not be liable for any delay in delivery of the goods however caused. 5.2 Delivery will be made to the business address specified in your order. 5.3 If you fail to take delivery of the goods, we may charge you for the reasonable costs of storage and redelivery. 5.4 Shortages & Non-Delivery: You must notify us of any non-delivery within [e.g., 5] days of the dispatch confirmation. Shortages must be reported within [e.g., 48 hours] of receipt.

6. Risk & Retention of Title

6.1 Risk in the goods shall pass to you on completion of delivery.

6.2 Retention of Title: Notwithstanding delivery and the passing of risk, title to the goods shall not pass to you until we have received payment in full (in cash or cleared funds) for the goods and any other goods that we have supplied to you.

6.3 Until title passes, you shall hold the goods on a fiduciary basis as our bailee and shall keep the goods separate from those of third parties and properly stored, protected, insured, and identified as our property.

7. Returns, Refunds & Defects

7.1 No Automatic Right to Cancel: As a B2B transaction, the consumer “cooling-off” period does not apply. We are not obliged to accept returns of non-faulty goods (e.g., if you simply change your mind or over-order).

7.2 Damaged or Defective Goods: You must inspect the goods immediately upon receipt. If you receive goods that are damaged or defective, you must notify us in writing (with photographic evidence where possible) within [e.g., 48 hours] of delivery.

7.3 If validly notified, we may, at our option: * Replace the goods; or * Refund the price of the goods.

7.4 Goods must not be returned to us without a valid Returns Authorisation Number (RAN) issued by our support team.

8. Limitation of Liability

8.1 Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. 8.2 Subject to clause

8.1: * We shall under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with the Contract; and * Our total liability to you in respect of all other losses arising under or in connection with the Contract shall in no circumstances exceed the price of the goods.

9. Website Use & Content

9.1 While we endeavour to ensure that the information on our website is correct, we do not warrant the accuracy and completeness of the material.

9.2 Images of products are for illustrative purposes only. Actual products may vary slightly in packaging or colour.

10. Governing Law

10.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales.

10.2 You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
